    OVERVIEW

    This course introduces to the general issues of commercial law.

    AIMS AND CONTENT

    LEARNING OUTCOMES

    This course introduces to the general issues of commercial law. It is divided into three parts, respectively devoted to the law of partnerships, the industrial property and the bankruptcy proceedings. The first one provides the business legal and institutional framework on business enterprise and focuses its attention on the various aspects of the law on the partnerships, with particular reference to the events relating to the formation, the transfer of ownership, the fiduciary obligations and the dissolution of the undertaking. The second part is designed to provide a functional analysis of intellectual and industrial property law and focuses its attention on the various aspects of trade marks, copyright and industrial patents. The third part pays attention to the legal and institutional framework on the insolvency and bankruptcy law and focuses on the main issues, such as the procedural steps and the debt reorganisation, the priority of claims, the contracts in progress and the termination of the proceeding.

     

    TEACHING METHODS

    Classroom lessons. Legal case studies and written exercises. Language: Italian.

    SYLLABUS/CONTENT

    The course aims at equipping students with a basic knowledge of the law of business and a capacity of critical analysis of the main implications of the law governing the commercial enterprise (trade marks, copyright, competition, joint ventures, partnership, insolvency and liquidation).
