The course introduces to the general issues of business law. The first part will explore the general elements of the enterprise and of intellectual property laws. The second and third parts of the program will be dedicated to the different forms of corporations.
The course introduces to the general issues of business law and corporate law. The first part provides the legal and institutional framework of business enterprises and intellectual property (i.e. copyright, patent law and trademarks). The second part focuses on the various aspects of the law of partnerships, with particular reference to the events relating to the formation, the transfer of ownership, the fiduciary obligations and the dissolution of the undertaking. The third part will be dedicated to limited liability companies and the laws of the groups.
The purpose of the course is to provide a deep understanding about the mechanics of business law and corporate law. The aim of the course is also to help the students to develop further capabilities such as group work, legal writing and legal reasoning.
