This course is essential for all students who wish to pursue traditional career paths in law (judiciary, legal profession, notary, public administration, business, European institutions). AIMS AND CONTENT LEARNING OUTCOMES The Contract: the contract in the system; the problems of the conclusion of the contract; form; agency. Object and cause/consideration; interpretation and integration; contractual relationship; Parties and third parties; effects of the contract and private autonomy (terms, conditions, preliminary agreements, trust, simulation). The grounds of invalidity; the treatment of invalid contracts; the contract and the regulation of the market; breach of contract; termination and other remedies. AIMS AND LEARNING OUTCOMES The main objective of the course is to provide an in-depth understanding of the general rules of contracts; students are expected to develop the concepts already learned in the course on Private Law Institutions, exploring the interpretative issues highlighted by case law and legal doctrine in the application of the general provisions on contracts. By the end of the course, students will have acquired a thorough and updated knowledge of the most recent legislative, judicial, and doctrinal developments concerning a legal institution (the contract) which plays a fundamental role in private law and, more broadly, in the economic context. The connection between contracts and business, as well as contracts and markets, will be a particular focus, approached from a dynamic perspective that is open to comparisons with other legal systems and dialogue with other social sciences.
