The course is about business law and company law
The aim of the course is to guide the students to achieve accurate and appropriate knoledge of basic profiles of the subject, in order to develop a critical sensibility, considering both authors' interpretation and jurisprudence contributions, having clear in mind the multiple and various background of all commercial law's institutions.
The purpose of the course is to give the students a full picture of the regulation of the entrepreneur who runs the business either alone as well as through enterprises, letting further detailed analysis to other specialized courses available in the Department
Frontal lectures
First part:
L’imprenditore. Le categorie di imprenditori. L’acquisto della qualità di imprenditore. Lo statuto dell’imprenditore commerciale. L’azienda. Brevetti, marchi, opere dell’ingegno, licenze. Le società. La società semplice. La società in nome collettivo. La società in accomandita semplice.
Second part:
La società per azioni. Le azioni. Le partecipazioni rilevanti. I gruppi di società. L’assemblea. L'amministrazione. I controlli. Il bilancio. Le modificazioni dello statuto. Le obbligazioni.
