OVERVIEW

Commercial law is made up of all the rules of private law that specifically regulate production activities and their exercise. To this phenomenon, which in modern civilization has reached planetary dimensions and which with its presence in the social fabric permeates the life of every person, a large set of legal rules is dedicated, contained only in part in the Civil Code, but fragmented into many special laws. . There are many specific aspects of commercial law: from that relating to the creation and operation of a company, to that relating to the establishment and life of the company, to that relating to competition between entrepreneurs, and the tools they have to make advance the business.

AIMS AND CONTENT

LEARNING OUTCOMES

The course introduces the general issues of commercial law. In the context of the general discipline of the enterprise, its various articulations are examined, with particular reference to the statute of the commercial enterprise and to the discipline of the company. With regard to the companies, the features of the various types are examined in depth, with particular reference to the events relating to the establishment, the patrimonial order, the exercise of the company activity and the dissolution of the relationship.

AIMS AND LEARNING OUTCOMES

The course aims to provide the student with the legal and conceptual tools to understand the functioning of business through:

- Frontal lessons

- In-depth seminars

- periodic exercises in the classroom that make it possible to better retain and use the notions provided during the lectures

- group exercises which will have as their objective the design of a real business, the resolution of practical problems, the study of a product market and the preparation of a promotional campaign. These three exercises are intended to train the student to deal with practical problems and to build day by day a concrete project very similar to those that he will find himself dealing with in the working world.

Students are required to have passed the constitutional and private law exams

SYLLABUS/CONTENT

The program is conceptually divided into three parts:

- The study of the constitution and the fundamental elements of the Company

- The study of the constitution and functioning of partnerships and capital companies

- The study of competition between entrepreneurs and the discipline of advertising

EXAM DESCRIPTION

The final exam of the course is oral and consists of questions relating to the topics covered during the course. Furthermore, always during the course, those who attend the lessons (face-to-face or online, but always synchronous, except in exceptional cases), will have the opportunity to carry out group work, to solve practical problems, and to organize a real business activity. , with an object of their choice and a final promotional campaign. the exercises will get an additional score that will be added to the final exam grade.

ASSESSMENT METHODS

The assessment of the learning level will be carried out both during the course, with practical exercises, questions and debates, and at the final exam.
