The course aim is to provide students with a basic institutional framework of the corporate discipline, both run individually or as a company, lingering on relations between principal characters of the economic system and the liability profiles associated to different ways of carrying a business.
Students should gain adequate knowledge of the institutional aspects of the subject and became able to use that knowledge to solve practical problems related to various aspects of commercial law, in order to develop a critical study, able to consider interpretation and jurisprudence. In addition students should acquire the technical language which is typical of the subject to be able to communicate clearly and unambiguously with both specialist and non specialist of the subject. They also should reach appropriate skills to allow them to investigate on their own major issues of the discipline in their future workplace (whichever it will be).
Frontal lectures.
The juridical figure of the entrepreneur and its regulation (historical development, legal definition, requirements, categories, tools used and competition discipline). Corporations. The "società semplice". The "società in nome collettivo". The "società in accomandita semplice". (particular types of companies)
Second part: The public limited company. Actions. Significant investments. Groups of companies. The assembly. The administration. The controls. The budget . Amendment of the statutes. The dissolution of limited liability companies. The company limited by shares. The unlimited liability company. Cooperative societies. Transformation. Merger. Demerger. The company's crisis and the insolvency procedures (outlines)
This will be valid for all students (attending lessons and not)

- CAMPOBASSO, Manuale di Diritto Commerciale, UTET, Torino, ultima edizione (edizione compatta) (escluse la parte terza e quarta dedicate ai contratti e ai titoli di credito)
OPPURE
- GALGANO, Diritto Commerciale, Zanichelli, Bologna, ultima edizione (edizione compatta) (esclusi i capitoli 19,20, 25,26)
In addiction an update version of the Civil Code (it can also be cosulted free on line) is recommended.
Be aware of the fact that no handouts are given by the teacher and that only notes taken during the lessons are not enough to complete the study.
Office hours: Students can contact the teacher every Tuesday from 10.30 to 12 at Economia building (2nd floor, office n.5) or they can write an email to schedule a meet through Teams
